These Terms of Service (“Terms”) govern your use of clarksclater.com (the “Site”), operated by Clark Sclater, LLC (“Firm,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms.

1. Description of Services

The Site describes our accounting, tax preparation, tax planning, bookkeeping, payroll, and advisory services, and offers downloadable digital products and consultation scheduling. Content on the Site, including our Digital Products, is provided for general informational purposes only.

2. Not a Substitute for Professional Advice

Content on this Site — including general descriptions of our services, downloadable templates, checklists, and other resources — is provided for general informational purposes only and does not constitute personalized tax, accounting, financial, or legal advice. Engagement for specific professional services is governed by a separate signed engagement letter between you and the Firm, which takes precedence over any general information provided on the Site.

3. Client Portal Access

Bookkeeping and advisory clients access their account through Double; tax clients access their account through Intuit Link. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

4. Digital Products

When you purchase a digital product from the Site, we grant you a limited, non-exclusive, non-transferable license to use the product for your personal or internal business use. You may not resell, redistribute, or create derivative works from our digital products without our written permission.

Refund Policy: Because digital products are delivered instantly and irrevocably upon download, all sales of digital products are final once the item has been downloaded. If you experience a technical issue preventing download, or receive a defective or incorrect file, contact us within 7 days of purchase for resolution. Note: online purchasing functionality is being finalized and is not yet fully active on the Site; this policy will apply once online purchasing is enabled.

5. Scheduling Consultations

The “Schedule a Session” page lists available consultation types and pricing for informational purposes. Online scheduling and payment functionality is being finalized and is not yet fully active on the Site. Once enabled, this section will describe our cancellation and rescheduling policy.

6. Intellectual Property

All content on the Site — including text, graphics, logos, and downloadable templates — is owned by the Firm or its licensors and protected by copyright and other intellectual property laws. Except as expressly permitted (such as personal use of a purchased digital product), you may not reproduce, distribute, or create derivative works from Site content without our written permission.

7. User Conduct

You agree not to misuse the Site, attempt to gain unauthorized access to any portion of the Site or our systems, interfere with the Site’s normal operation, or upload harmful code.

8. Third-Party Links and Services

The Site may link to or integrate with third-party sites and services we do not control, including Double, Intuit Link, the Apple App Store, and Google Play. We are not responsible for the content, privacy practices, or terms of those third parties.

9. Disclaimer of Warranties

The Site and its content are provided “as is” and “as available” without warranties of any kind, express or implied, to the fullest extent permitted by law.

10. Limitation of Liability

To the fullest extent permitted by law, the Firm shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site.

11. Indemnification

You agree to indemnify and hold the Firm harmless from any claims, damages, or expenses arising from your violation of these Terms or misuse of the Site.

12. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles.

13. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with a revised Effective Date. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
